These Terms of Use ("Terms") are a binding agreement between you and Crelio, Inc. ("Crelio," "we," "us," or "our") governing your access to and use of our website, applications, AI agents, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.
01 Acceptance of terms
By creating an account, requesting a demo, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.
02 The Services
Crelio provides an AI-native platform for commercial real estate origination. Crelio does not natively supply market or property data. Instead, you connect your own preferred data providers and databases, and our AI agents help you keep that data clean and current and turn it into actionable information — for sourcing, analysis, comps, outreach, and deal management. Crelio also provides contact databases to enrich and enhance your records.
We may modify, suspend, or discontinue any part of the Services at any time. We are not liable for any modification, suspension, or discontinuation of the Services.
03 Accounts & eligibility
You must be at least 18 years old and use the Services for business purposes. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.
04 Acceptable use
You agree not to, and not to permit others to:
- Use the Services in violation of any applicable law, regulation, or third party's rights;
- Use the Services to access, collect, or process data in a manner that violates the terms of service, acceptable-use policy, or other agreement governing any third-party source;
- Reverse engineer, decompile, or attempt to extract source code from the Services;
- Interfere with, disrupt, or place undue load on the Services or their infrastructure;
- Use the Services to send spam, malware, or unlawful, harassing, or deceptive communications; or
- Resell or provide the Services to third parties except as expressly permitted in writing.
05 Third-party data, sites & services
The Services are designed to work with data, websites, platforms, and services operated by third parties that you choose to connect or direct the Services to interact with ("Third-Party Services"). Crelio does not own, control, operate, or endorse any Third-Party Service, and we are not responsible for their content, availability, accuracy, policies, or practices.
Your access to and use of any Third-Party Service is solely at your own risk and is governed by the terms and policies of that third party — not by Crelio. Crelio is not a party to, and assumes no responsibility or liability for, your relationship with, access to, or use of any Third-Party Service, including any data provider, listing service, data broker, website, or database.
To the maximum extent permitted by law, Crelio disclaims all liability arising out of or relating to your access to, connection with, or use of any Third-Party Service, including any claim that such access or use infringes, misappropriates, or violates the intellectual-property, contractual, privacy, or other rights of any third party.
06 Your compliance responsibilities
You are solely responsible for ensuring that your use of the Services — including any data you connect, upload, request, or direct our AI agents to collect, access, or process — complies with all applicable laws and with the terms, licenses, and policies of every third party whose data or systems are involved.
You represent and warrant that you have all rights, licenses, consents, and permissions necessary to connect, access, and use any data or Third-Party Service with Crelio, and that your instructions to the Services do not and will not violate any third party's terms of service, acceptable-use policy, license, or other agreement or applicable law.
By way of example and not limitation: if you direct Crelio or its AI agents to access, retrieve, scrape, or process data from a third-party platform, listing service, or database (for example, a subscription data provider), and doing so violates that provider's terms of service or applicable law, you — not Crelio — are solely responsible for that violation and for any resulting claims, damages, penalties, or liabilities. Crelio provides general-purpose technology that acts at your direction and does not monitor, verify, or guarantee that your intended use is permitted by any third party.
You agree to indemnify Crelio for any breach of this section as described in Indemnification.
07 AI agents & automated technology
The Services include AI agents and automated features that act on your behalf and at your direction. You are responsible for the objectives, instructions, and configurations you provide and for reviewing and validating the outputs and actions of these agents before relying on them.
AI-generated outputs may be inaccurate, incomplete, or unsuitable for your purpose. Crelio does not warrant the accuracy, completeness, legality, or fitness of any output, enrichment, comp, analysis, or automated action. You must independently verify all outputs before using them for any business, financial, legal, or transactional decision.
You acknowledge that automated actions you direct (including outreach, data collection, and processing) are performed on your behalf, and you remain responsible for ensuring those actions are lawful and permitted by any affected third party.
08 Your content & data
You retain all rights in the content and data you submit to or connect with the Services ("Your Content"). You grant Crelio a limited, non-exclusive license to host, process, and use Your Content solely to provide and improve the Services and to perform the tasks you direct. You are responsible for the accuracy, quality, and legality of Your Content and the means by which you acquired it.
09 Intellectual property
The Services, including all software, models, designs, text, and trademarks, are owned by Crelio or its licensors and are protected by intellectual-property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you. You may not use the Crelio name, logo, or marks without our prior written permission.
10 Fees & payment
Paid features are billed according to the plan or order you select. Unless stated otherwise, fees are non-refundable, exclusive of taxes, and due in advance. We may change pricing prospectively with notice. Failure to pay may result in suspension or termination of access.
11 Disclaimers of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Crelio does not warrant that the Services will be uninterrupted, secure, or error-free, that outputs will be accurate or reliable, or that the Services, or any use of Third-Party Services through them, will comply with any third party's terms or applicable law. Any material obtained through the Services is accessed at your own risk.
12 Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRELIO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to your use of the Services or any Third-Party Service, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.
Crelio's total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to Crelio for the Services in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.
Nothing in these Terms limits liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
13 Indemnification
You agree to defend, indemnify, and hold harmless Crelio and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) Your Content; (c) your access to, connection with, or use of any Third-Party Service; (d) your violation of any third party's terms of service, acceptable-use policy, license, or other agreement, or of any applicable law; and (e) your breach of these Terms.
14 Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Services ceases. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
15 Governing law & disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction, except where prohibited by applicable law.
16 Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where required, provide additional notice. Your continued use of the Services after an update constitutes acceptance of the revised Terms.
